Terms of Service

1. Acceptance of Terms

By accessing or using the FreshBooks MCP Hosted Server service ("Service") operated by Good Samaritan Software LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

The Service provides OAuth authentication and token management for integrating FreshBooks with AI assistants via the Model Context Protocol (MCP). The Service:

  • Manages OAuth authentication with FreshBooks on your behalf
  • Stores and refreshes your FreshBooks access tokens
  • Provides API access to your tokens for authorized applications

3. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

4. Subscription and Billing

4.1 Pricing

The Service is offered at $7.99 per month. Prices are subject to change with 30 days' notice.

4.2 Free Trial

New users receive a 14-day free trial. A valid payment method is required to start the trial, but you will not be charged until the trial period ends. After the trial period, your subscription begins automatically. You may cancel anytime before the trial ends.

4.3 Billing

Subscriptions are billed monthly in advance. Your subscription will automatically renew each month until cancelled.

4.4 Cancellation

You may cancel your subscription at any time through the Stripe billing portal. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period.

4.5 No Refunds

ALL PAYMENTS ARE NON-REFUNDABLE. We do not provide refunds or credits for any partial-month subscription periods, unused time, or any reason whatsoever. By subscribing, you acknowledge and agree to this no-refund policy.

5. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Share your API key with unauthorized parties
  • Exceed reasonable API usage limits
  • Reverse engineer or decompile the Service

6. Third-Party Services

The Service integrates with FreshBooks and other third-party services. Your use of these services is subject to their respective terms and conditions. We are not responsible for the availability, accuracy, or reliability of third-party services.

7. AI INTEGRATION DISCLAIMER

THE SERVICE ENABLES THIRD-PARTY AI ASSISTANTS TO INTERACT WITH YOUR FRESHBOOKS ACCOUNT. BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • YOU ARE SOLELY RESPONSIBLE for all actions taken by AI assistants through the Service, including but not limited to creating, modifying, or deleting invoices, clients, payments, time entries, expenses, projects, and any other data
  • AI ASSISTANTS MAY MAKE ERRORS, produce inaccurate results, misinterpret instructions, hallucinate information, or take unintended actions
  • YOU MUST REVIEW AND VERIFY all AI-generated content, actions, and modifications before relying on them for business, financial, tax, or legal purposes
  • WE HAVE NO CONTROL over AI assistant behavior, decisions, or outputs and accept no liability whatsoever for their actions or recommendations
  • ENABLING WRITE OPERATIONS (creating, updating, or deleting data) is entirely at your own risk
  • WE ARE NOT LIABLE for any financial losses, tax errors, incorrect invoices, missed payments, damaged client relationships, or any other consequences resulting from AI assistant actions
  • YOU WAIVE ANY CLAIMS against us arising from AI assistant errors, omissions, or unintended actions

THE SERVICE IS A TOOL THAT PROVIDES AI ASSISTANTS ACCESS TO YOUR FRESHBOOKS DATA. WE DO NOT PROVIDE ACCOUNTING, FINANCIAL, TAX, OR LEGAL ADVICE. YOU SHOULD CONSULT QUALIFIED PROFESSIONALS FOR SUCH MATTERS.

8. Trademarks and Unofficial Status

THIS IS AN UNOFFICIAL SERVICE AND IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY FRESHBOOKS OR 2NDSITE INC.

"FreshBooks" is a registered trademark of 2ndSite Inc. All FreshBooks trademarks, service marks, trade names, logos, and brand features are the property of 2ndSite Inc. and are used herein for identification purposes only.

Good Samaritan Software LLC makes no claim to any FreshBooks intellectual property. Our use of the FreshBooks name is solely to describe the functionality of this Service and does not imply any partnership, sponsorship, or endorsement by 2ndSite Inc.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY OF DATA
  • UNINTERRUPTED OR ERROR-FREE OPERATION

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE AVAILABLE AT ANY PARTICULAR TIME, OR OPERATE WITHOUT INTERRUPTION OR ERRORS.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOOD SAMARITAN SOFTWARE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
  • DAMAGES RESULTING FROM INTERRUPTION OR CESSATION OF THE SERVICE
  • DAMAGES RESULTING FROM THIRD-PARTY SERVICES (INCLUDING FRESHBOOKS)
  • ANY AMOUNT EXCEEDING THE FEES PAID BY YOU IN THE PRECEDING 12 MONTHS

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Good Samaritan Software LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your FreshBooks data or accounting practices

12. Data and Security

While we implement industry-standard security measures, you acknowledge that no system is completely secure. You are responsible for:

  • Maintaining the security of your account credentials
  • Protecting your API key
  • Ensuring compliance with FreshBooks' terms of service
  • Backing up your own data

13. Service Availability

We do not guarantee any specific uptime or availability. The Service may be interrupted for maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

14. Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, with or without notice. Upon termination:

  • Your access to the Service will cease immediately
  • Your stored tokens will be deleted
  • No refund will be provided for any remaining subscription period

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved exclusively in the courts of [Your State].

16. Dispute Resolution

Any dispute arising from these Terms or the Service shall first be attempted to be resolved through informal negotiation. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Good Samaritan Software LLC regarding the Service.

19. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the Service. Continued use of the Service after changes constitutes acceptance of the modified Terms.
